- For regional middle market building material distributor, acted as outside general counsel, negotiated acquisition of real estate and leases in several states with potential environmental issues, negotiated distributor and manufacturer representative agreements, supervised collections in various jurisdictions, coordinated litigation and all other aspects of legal representation, including corporate financing, acquisitions, mergers and sales.
- For owners of indoor growing facilities. Represented separate owners of indoor, near-pharmaceutical grade growing facilities in all aspects of sale of facilities and long term “leaseback” involving numerous parties, coordination with corporate and regulatory counsel.
- For national institutional investors, supervised bankruptcy claims and real estate aspects of acquisition of bank loans and securitization of $125 million of restructured debt secured by mortgages of over 700 properties throughout twelve states. Coordinated activities of other firms, supervised development and maintenance of databases relating to acquired loans and mortgaged properties to prepare for bankruptcy litigation and closing of major restructuring transaction requiring recording in more than 100 offices in 12 states.
- For local developers, obtained approvals from Boston Redevelopment Authority under Massachusetts General Laws, Chapter 121A. Coordinated submission of applications, negotiation of agreements with assessors and presentations at public hearings of Boston Redevelopment Authority to obtain zoning relief and achieve substantial reduction in real estate taxes.
- For national automobile auction operator, coordinated construction contract negotiations and documentation, standardizing construction documentation and procedures nationwide, represented local subsidiary in State DEP enforcement actions and local zoning approvals.
- For assisted living facility developer, represented developer in acquiring sites and approvals, obtained local zoning approvals and long term ground lease with regional transportation authority (MBTA).
- For national pension real estate advisor, negotiated and closed the sale of ten hotels in Texas and other Southwestern states, coordinated purchase agreements and sale documentation, escrow closings and termination or assignment of hotel franchise agreements.
- For parties owning undersized nonconforming lots on Martha’s Vineyard, coordinated like kind exchange among separate owners to facilitate redevelopment of four existing undersized lots as three conforming lots, deferring significant capital gains tax. Prepared successful request for ruling to submit to Martha’s Vineyard Land Bank to minimize transfer fees.
- For seller of large single-family parcel on Martha’s Vineyard, coordinated pre-closing environmental analysis, approvals by homeowners association and local approvals to facilitate sale, negotiated and closed the sale of $15,000,000 vacant parcel (sale price was the largest single family vacant lot sale on Martha’s Vineyard as of closing date).
- For purchasers of condominium residences and other projects involving extensive documents and covenants, review of documents and association finances to advise purchasers of status, unit owners’ rights and responsibilities, and potential financial implications.
- Zoning and wetlands approvals, represented numerous development entities in local zoning, subdivision and wetlands approvals, including analysis of zoning bylaws and wetlands bylaws, determined necessary approvals, prepared applications and coordinated with other professionals, representation in public hearings, preparation of decisions, coordination of appeals throughout Massachusetts over 30 years.
- Condominium creations/conversions, represented numerous developers in developing condominium documentation for new residential and commercial condominiums, including first multiple use condominium in Massachusetts for senior living with multiple levels of care.
- Horse and agricultural farms, represented purchasers and owners of numerous farms and horse facilities in acquisitions, tax abatement, recreational and agricultural tax classifications and ongoing matters relating to easement rights.
- Renewable energy, represented land owner in negotiation of long term ground lease to national solar photo-voltaic developer and operator (one of the largest capacity PV sites in Massachusetts).
